The following terms form part of all contracts entered into with RETAIL NOVA TRADING SERVICES SA DE CV, as an authorized distributor of Ashampoo products in Mexico and the region. We are committed to observing these terms in our actions, both within and outside contractual relationships.
1. General Information and Scope

NovaTrading acts as the exclusive authorized distributor of Ashampoo GmbH & Co. KG (German software manufacturer) for the commercialization of digital software products in Mexico, Central America, and the Caribbean.

Software licenses developed by Ashampoo
All licenses are original, legitimate, and properly authorized
Spanish technical support for Ashampoo products
Invoicing services compliant with Mexican legislation
1.3 Application of Terms
The latest version of these general terms shall also apply to all subsequent transactions with the customer without requiring an express declaration at the time of conclusion.

We hereby object to any counter-confirmations, counteroffers, or references by the customer to their own commercial terms. Different terms shall only apply when confirmed in writing by NovaTrading.

These terms are governed by the laws of the United Mexican States, specifically:
Federal Consumer Protection Law (LFPC)
Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP)
Federal Civil Code and Commercial Code
Federal Copyright Law
Federal Fiscal Code
2. Software Products and Licenses
2.1 Product Nature
NovaTrading distributes digital software developed by Ashampoo, including but not limited to:
Software categories:
System utilities (optimization, cleanup, backup)
Multimedia tools (photo, video, audio editing)
Productivity and office solutions
Security and privacy software
Disc burning and file management tools
Sector-specific applications
2.2 Types of Available Licenses
a) Perpetual Licenses
Indefinite use of the purchased version
Minor updates included
Major upgrades may require additional cost
Personal or commercial depending on product
b) Subscriptions
Access for a defined period (monthly, yearly, multi-year)
All updates included
Optional auto-renewal
Real-time feature access
c) Trial Versions
Full or limited functionality for a defined period
No cost, no obligation
Upgrade via license purchase
d) Freeware
Basic functionality at no cost
Optional upgrade to premium versions
Updates at manufacturer discretion
2.3 Usage Limitations
Licenses are subject to:
Device limits depending on license type
Personal vs. commercial restrictions
Transferability conditions
Regional validity
2.4 System Requirements
Customers must verify that their equipment meets the minimum system requirements listed on each product page. NovaTrading is not responsible for incompatibility due to unmet requirements.
3. Purchase and Contracting Process
3.1 Offer and Acceptance
A purchase is completed when:
The customer places an order via website, marketplaces, or direct contact
NovaTrading confirms acceptance by email
Payment is successfully processed
License and activation key are delivered
NovaTrading reserves the right to reject orders due to:
Incorrect information
Fraud suspicion
Technical or inventory issues
Legal restrictions
3.2 Order Confirmation
After successful payment, the customer receives:
Order confirmation email
License delivery email
Download and activation instructions
Electronic invoice when applicable
3.3 Product Delivery
Immediate Digital Delivery
No physical products shipped
Instant download after payment confirmation
License keys sent by email
Customer responsibilities include safeguarding license keys and verifying email accuracy.

4. Pricing, Payments, and Invoicing
4.1 Pricing
Prices in Mexican pesos (MXN)
VAT included where applicable
Subject to change without notice
Promotions may include discounts, seasonal campaigns, or coupons.
Currency conversions may apply depending on payment processors.
4.2 Accepted Payment Methods
Credit/debit cards (Visa, MasterCard, AmEx)
Bank transfers (SPEI)
PayPal and other digital wallets
Cash payments (selected channels)
4.3 Transaction Security

5. Cancellation, Refunds, and Guarantees
5.1 Withdrawal Rights
Once a digital license is revealed or activated, cancellation rights do not apply due to the nature of digital goods.
Exceptions:
Cancellation before license delivery
Incorrect product purchased
Verified technical incompatibility
5.2 30-Day Satisfaction Guarantee
Applies when:
Software does not function as described
Severe technical issues persist
Customer cooperates with support

7. Updates and Renewals
Includes policies for perpetual licenses, subscriptions, upgrades, and auto-renewal management via account portal or support channels.
8. Intellectual Property
All software remains property of Ashampoo. Customers acquire a license, not ownership.
Unauthorized actions (reverse engineering, redistribution, etc.) are strictly prohibited and may result in legal action.
9. Limitation of Liability
NovaTrading guarantees authenticity of licenses but does not guarantee uninterrupted software performance.
Liability is limited to the amount paid for the product, except where prohibited by law.
10. Marketing Communications
Emails are sent only with explicit consent (double opt-in).
Users may unsubscribe anytime via link or email: cancelar@novatrading.global
11. Force Majeure
NovaTrading is not liable for failures caused by natural disasters, cyberattacks, infrastructure failures, or regulatory changes.
12. Dispute Resolution
Governed by Mexican law.
Jurisdiction: Mexico City courts, without limiting consumer rights.
Alternative dispute resolution includes negotiation, PROFECO, mediation, or arbitration.
13. Final Provisions
Severability clause applies
NovaTrading may update terms with prior notice for material changes
Spanish version prevails over translations
